The Republic Lex Aequa License
Version 1.0
Licensor: The Republic IT International de Mexico, S. de R.L. de C.V. ("The Republic", https://republic.global)
Copyright (c) 2026 The Republic IT International de Mexico, S. de R.L. de C.V.
Software: Tenax
"Lex Aequa" is Latin for "the fair law": everyone may use the Software freely, and only the Licensor may sell it.
1. Acceptance
By using, copying, modifying or distributing the Software, you agree to these terms. If you do not agree, you have
no rights to the Software.
2. Grant
Subject to the limitations in section 3, the Licensor grants you a worldwide, royalty-free, non-exclusive,
non-transferable, non-sublicensable licence to:
(a) use the Software for any purpose, commercial or not, including running it in production for your own
organisation, your Affiliates and the products and services you offer;
(b) copy and modify the Software and prepare works based on it;
(c) distribute the Software and works based on it, free of charge, with this licence and the notices in it.
You may let contractors and service providers install, operate and maintain the Software on your behalf and for your
benefit, provided they do so under these terms.
3. Limitations
You may not:
(a) sell, rent, lease, license, sublicense or otherwise make the Software, or any work based on it, available to
a third party for a fee or other consideration, alone or bundled with other products or services;
(b) offer the Software, or any work based on it, as a hosted, managed, "as a service" or white-label product or
service in which the Software provides any part of what is offered to third parties, including backup,
restore, recovery, disaster-recovery, data-protection, data-retention or database-sandbox services;
(c) present the Software, or any work based on it, as your own product, under another name or branding, or
remove, alter or obscure any licensing, copyright or other notices in it;
(d) use the Software in breach of applicable law.
These limitations apply to Competing Offerings. They do not stop you from using the Software to protect the data of
your own systems, including systems that serve your customers, as long as your customers are not given access to
the Software or its features and the Software is not part of what they pay for.
4. Patents
The Licensor grants you a licence, under any patent claims it can license and that the Software as provided by the
Licensor infringes, to do everything section 2 allows, subject to section 3. If you or your company make any claim
that the Software infringes a patent, your patent licence ends immediately, as does your licence for your company.
5. Notices
Anyone who receives a copy of the Software or a work based on it from you must also receive this licence. If you
modify the Software, you must mark the modified files with a prominent notice that you changed them.
6. No Other Rights
These terms do not imply any licences other than those expressly granted. They grant no right to use the
Licensor's names, logos or trademarks, including "Tenax" and "The Republic", except to state truthfully where the
Software came from. The Licensor may offer the Software under other terms, including commercial terms.
7. Termination
If you use the Software in breach of these terms, your licence ends. If the Licensor notifies you of the breach and
you stop it within 30 days of the notice, your licence is reinstated, but only once: a second breach ends your
licence for good. Licences of those who received the Software from you are not affected while they comply.
8. No Liability
THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OR CONDITION OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING FITNESS
FOR A PARTICULAR PURPOSE, MERCHANTABILITY AND NON-INFRINGEMENT. TO THE EXTENT ALLOWED BY LAW, THE LICENSOR IS NOT
LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE SOFTWARE OR THESE TERMS, INCLUDING LOSS OF DATA, LOSS OF
PROFITS AND THE COST OF RECOVERING DATA, EVEN IF ADVISED OF THEIR POSSIBILITY. You are responsible for testing your
backups and restores.
